4. Services and Engagements
Mobiweb Global Solutions provides digital services including but not limited to web development, mobile application development, UI/UX design, AI and ML solutions, blockchain development, IoT systems, and technology consulting. All services are governed by a separate written agreement or Statement of Work (SOW) signed by both parties, which defines scope, timelines, deliverables, pricing, and ownership. These Terms apply in conjunction with any such agreement. In the event of a conflict, the signed agreement takes precedence.
5. Client Responsibilities
Clients are responsible for: providing accurate and complete project requirements and feedback in a timely manner; ensuring all materials, assets, or content provided to us do not infringe third-party intellectual property rights; obtaining all necessary licences, permissions, and approvals for content or technologies they request us to integrate; and designating an authorised point of contact for project communications. Delays caused by the client's failure to provide timely feedback or materials may result in revised timelines, and we accept no liability for such delays.
6. Payment Terms
All fees for services are agreed upon in the project contract or SOW. Unless otherwise stated: an advance payment is required before work commences; milestone-based payments are due within 7 business days of invoice issuance; late payments may accrue interest at 1.5% per month; we reserve the right to pause or terminate work until outstanding invoices are settled. All fees are exclusive of applicable taxes (including GST as applicable in India). Refunds are only issued as expressly stated in the project agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information, business data, trade secrets, or non-public technical information shared during the engagement. This obligation remains in effect for 3 years following the conclusion of the project unless a separate Non-Disclosure Agreement specifies a different term. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Intellectual Property Ownership
Upon receipt of full payment for a project, all custom work products and deliverables created specifically for the client under the agreed scope will be assigned to the client. Mobiweb Global Solutions retains ownership of: pre-existing tools, frameworks, libraries, and methodologies; general-purpose utilities and code components developed independently of the project; and any open-source components used (subject to their respective licences). We reserve the right to reference the completed project in our portfolio unless the client requests confidentiality in writing.
9. User Accounts
If you create an account on our website or any platform we provide: you are solely responsible for safeguarding your login credentials; you agree to provide accurate, current, and complete information; you must notify us immediately of any unauthorised use of your account; we reserve the right to suspend or permanently terminate accounts that violate these Terms, engage in abuse, or present a security risk.
10. Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of viruses or other harmful components. We do not guarantee specific results from our services beyond what is expressly stated in a signed agreement.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Mobiweb Global Solutions shall not be liable for: any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; costs of procuring substitute goods or services; or any damages arising out of or relating to your use of or inability to use our website or services. Our total aggregate liability for any claim relating to a specific project shall not exceed the total fees paid by the client for that project in the 3 months preceding the claim.
12. Third-Party Links and Integrations
Our website may contain links to third-party websites or we may integrate third-party tools and APIs into client projects at the client's request. We are not responsible for the content, privacy practices, reliability, or security of any third-party platforms. Links do not imply endorsement. Your use of third-party services is at your own risk and subject to their own terms and privacy policies.
13. Termination
Either party may terminate an engagement by providing written notice as specified in the project agreement. We reserve the right to immediately terminate access to our website or services, without prior notice, if you breach any of these Terms. Upon termination, your right to use our platforms ceases immediately. Any provisions that by their nature should survive termination (including confidentiality, payment obligations, and IP ownership) shall continue to apply.
14. Privacy
Your use of our website and services is also governed by our Privacy Policy, available at mobiwebgs.com/privacy-policy. By using our services, you consent to the collection and use of your information as described in that policy.
15. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised effective date.
